Terms and Conditions for Rubie Wallet
Application Service
Rubie Wallet is a digital asset wallet application developed by SCB 10X for Ethereum DevCon SEA 2024 event period and be a part of the Bank of Thailand's and the Securities and Exchange Commission of Thailand's enhanced sandbox program, for payment for goods and/or services at the participated merchants via Rubie Wallet pursuant to details of the Service and the Terms prescribed by SCB 10X. The User agrees to be bound by and comply with the following terms and conditions:
1. Definition
1.1. "Account" means the User's externally owned account (EOA) wallet on the Ethereum Mainnet and Base Chain network, which the User has designated such EOA wallet to be linked with the Rubie Wallet for transferring USDC to and/or receiving USDC from the Rubie Wallet.

1.2. "Application" means Rubie Walleft Application service provided by SCB 10X.[p3]

1.3. "DevCon Event" [p4] [p5] means Ethereum DevCon SEA 2024 event[ST6] to be held in Bangkok, Thailand during November 12, 2024 to November 15, 2024.

1.4. "DevCon Event Period" [p7] [p8] means the period beginning on November 1, 2024, and ending on November 25, 2024, which will be the period which the application is available to use, covering both the days leading up to and following the official event dates.

1.5. "Device for Transaction Execution" means mobile phone and/or any other device prescribed by SCB 10X to be used for executing the Transaction.

1.6. "Force Majeure" means any circumstances beyond SCB 10X's control causing interruption of providing services pursuant to these Terms, including resulting in disruption or information error such as the malfunction of SCB 10X's computer system or the malfunction of the communication system from the malfunction of power supply or energy problem, any third party's act, computer virus or harmful data.

1.7. "Merchant" means a merchant who uses Merchant's Acceptance of Payment Service with The Siam Commercial Bank Public Company Limited and agrees to participate in the DevCon Event and accept payment for the goods and/or services from the User via the Rubie Wallet pursuant to these Terms; provided that list of Merchants can be found in "Merchant Discovery" in the Application.

1.8. "Personal Security Code" means passcode, Personal Identification Number (PIN), or any other codes in relation to the access and/or the use of the Service whether the code is generated by SCB 10X or the User.

1.9. "Rubie Wallet" means the User's digital wallet account issued by SCB 10X under the Application.

1.10. "SCB 10X" means SCB 10X Company Limited, including any persons appointed by SCB 10X.

1.11. "Service" means service provided by SCB 10X to the User under the Rubie Wallet Application.

1.12. "Terms" means these terms and conditions.

1.13. "THBX" means a digital currency that is designed to use as medium of payment for the goods and/or services to the Merchant during the DevCon Event.

1.14. "Transaction" means any instructions, records or transactions made by the User for the use of the Service on the Application such as the exchange of digital currency in the Rubie Waller, the payment for the goods and/or services to the Merchant by authorizing SCB 10X to debit fund from Rubie Wallet etc.

1.15. "USDC" means a digital currency that is designed to maintain a stable value by being pegged to a specific fiat currency, namely U.S. dollar.

1.16. "User" means the person as approved by SCB 10X to use the Service pursuant to these Terms.
2. Use and Safe Keep of Personal Security Code, Personal Data and Devices for Transaction Execution
2.1. The User shall keep the Personal Security Code and personal data confidential and not disclose or do any acts that may cause other persons to know such Personal Security Code and/or personal data.

2.2. The User shall protect and keep security of the Device for Transaction Execution at the secure place and shall take care and not allow such Device for Transaction Execution to be in the possession of any other person or to be installed, amended or proceeded with any acts such as BOT program (robotic program), Remote Application (the application which it can be used for controlling the Device for Transaction Execution from long distance through internet network), Jailbreak (the amendment of IOS operating system), Root (the amendment of Android operating system) or any other similar acts.

If the User allows the Device for Transaction Execution to be in the possession of any other person or any other person can access such Device for Transaction Execution or causes such Device for Transaction Execution to be installed, amended or proceeded with any acts as specified above, the User shall be responsible for any Transaction made through such Device for Transaction Execution.

2.3. The User may change the Personal Security Code at any time pursuant to the procedures and means prescribed by SCB 10X.

2.4. If the User's Personal Security Code is damaged, lost or stolen, the User shall immediately notify, request for suspension the Transaction and/or the use of the Service and/or request for seize or suspension the use of the Personal Security Code by contacting SCB 10X at [email protected]. SCB 10X will as soon as practicable suspend the Transaction or the use of the Service or suspend the use of the Personal Security Code, provided that User shall pass the process of the account owner verification pursuant to the procedures and means prescribed by SCB 10X. In this regard, the User agrees that any Transactions or the use of the Service through the User's Personal Security Code done before such suspension shall be bound by the User in all respects.

The User agrees to be fully responsible for all costs and expenses in connection with the request for seize and/or suspension of the Transaction or the use of the Service and/or the Personal Security Code in all respects.
3. Use of the Service
3.1. The User shall be able to use the Service by registering and applying for the Service in accordance with the procedures, means and conditions prescribed by SCB 10X. The User shall be bound by and comply with these Terms and/or the terms of each function and/or type of transaction appearing before and/or during executing Transaction by the User (if any). In such case, such terms shall form an integral part of these Terms. The User shall be able to apply for the Service on the Device for Transaction Execution only 1 (one) device at each time.

3.2. Our services are exclusively available to non-Thai nationals only. Thai nationals are not eligible to register or access the application. In using the Service, the User shall be at least 18 (eighteen) years old and have participated in the Devcon Event, where the User is required to confirm the User's attendance by providing the Devcon Event Participation Number to SCB10X; provided that the Service will be available for the use during the Devcon Event only. The User shall have only 1 (one) Rubie Wallet with SCB10X.

3.3. If the User wishes to access and use the Service, the User shall enter correct the Personal Security Code and shall comply with the procedures, means and conditions prescribed by SCB 10X. If the User enters incorrect Personal Security Code in excess of times prescribed by SCB 10X (as the case may be), the Service may be temporarily suspended. In such case, the User shall contact SCB 10X at [email protected]. In this regard, the User agrees that such temporary suspension of the Service shall not result in the cancellation of any successful Transaction and the User agrees not to claim any damages from SCB 10X in all respects.

3.4. During the DevCon Event, the User may use the following functions pursuant to the procedures, means and conditions prescribed by SCB 10X, 24 hours a day or during the period to be prescribed by SCB 10X:

3.4.1. Deposit of USDC to Rubie Wallet


(1) The User shall designate only 1 (one) of the Account to be used with the Service; provided that the designated Account cannot be changed. The User is able to deposit USDC to the Rubie Wallet by transferring USDC from the Account. It does not allow to deposit any other digital currency to the designated Account other than USDC.


(2) The User will not receive any interest on USDC in the Rubie Wallet at any time.


3.4.2. Currency Exchange in Rubie Wallet


(1) The User is able to exchange digital currency in the Rubie Wallet from USDC to THBX and/or from THBX to UDSC at the exchange rate shown on the screen when making digital currency exchange transaction via the Application; provided however that such exchange rate is indicative rate in a given period from InnovestX Securities Company, which is third party, and may be subject to change during the DevCon Event. It is the User's responsibility to check the amount of USDC and/or THBX and the exchange rate before confirming any digital currency exchange transaction via the Application and in no event the User shall have the right to demand or claim SCB 10X for any damage incurred from such exchange.


(2) The User is able to exchange digital currency in the Rubie Wallet from USDC to THBX up to the amount of 6,000 (Six Thousand) THBX per day.


(3) THBX has no monetary value outside the Application. The transfer of THBX from the Rubie Wallet to any other account is not allowed.


3.4.3. Payment for goods and/or services via Rubie Wallet


(1) The User is able to make payment for the goods and/or services in THBX to the Merchant during the DevCon Event only. In making payment, the User shall use the Application to scan the Merchant's QR code and to input the amount in THBX for the payment. The payment cannot be made in USDC and the digital currency exchange from UDSC to THBX will not apply automatically upon making the payment transaction. Also, the payment cannot be made to non-participated merchant.


(2) Upon completing the Transaction, the User agrees to authorize SCB 10X to immediately debit THBX at the payment amount from the Rubie Wallet. In the event that the remaining amount of THBX in the Rubie Wallet is insufficient for making payment for the goods and/or services, the User will not be able to execute such payment transaction to the Merchant.


(3) The User is able to make payments to the Merchant via the Rubie Wallet up to the amount of 6,000 (Six Thousand) THBX per day, without number of transaction limit or amount limit per transaction; provided that the Transaction limit will be reset at 12.00 A.M. (GMT+7 Bangkok Time) of each respective day. The maximum limit of using THBX for payment for goods and/or services throughout the DevCon Event is 50,000 THBX.


3.4.4. Withdrawal of USDC from Rubie Wallet


(1) The User is able to withdraw USDC from the Rubie Wallet and transfer such USDC to the Account; provided that withdrawal fee will be charged to the User for such withdrawal of UDSC at the amount shown on the screen when making the withdrawal Transaction via the Application. The User shall not be able to withdraw or transfer USDC to any other persons and/or accounts other than the Account.


(2) After the end of the DevCon Event Period, the Service will be disabled and it is the User's responsibility to withdraw the remaining USDC from the Rubie Wallet to the Account within 25 November 2024, 11:59 P.M. (GMT+7 Bangkok Time). After such period, the system will automatically convert all remaining THBX to USDC and transfer USDC to the Account on Base Chain by 27 November 2024, 11:59 P.M. (GMT+7 Bangkok Time).


3.5 The User shall be able to find the User's transactions history, whether completed, pending and/or failed Transactions, on the Application. time.

3.6 In the event of account deletion, user data will be retained until December 31, 2024, regardless of the reason for account termination. Upon agreeing to delete the account, the user forfeits the ability to re-register using the same wallet or identical credentials.
4. Validity of the Use of Services or Transaction and Agreement Binding on the User
4.1. Any Transactions made by the User through the Service pursuant to these Terms is reliable and enforceable between the User and SCB 10X. The User represents and warrants that any documents and/or data received by SCB 10X through such procedure is reliable, correct and true as if they were made in writing and is enforceable among the User, SCB 10X and the relevant persons in all respects. In this regard, SCB 10X is not required to review the accuracy and completeness of any details in relation to any Transaction.

4.2. The User represents that any photos, documents and/or data received and/or to be received in the future by SCB 10X from the User through the Service are the User's data which is correct, complete and true in all respects. SCB 10X will collect and record such data in SCB 10X's customer information database for the purpose of providing the Service and/or making Transactions.

4.3. In case SCB 10X finds or suspects that any photos, documents and/or data received by SCB 10X from the User are not correct, complete or true, the User agrees that SCB 10X shall have the right to deny providing the Service, temporarily suspending or canceling transactions and/or the use of the Service and/or other services at any time without having to notify the User in advance and SCB 10X shall not be liable to the User for any losses and damages in any respects. In addition, the User agrees to indemnify and hold harmless against SCB 10X for all losses or damages incurred to SCB 10X as a result of providing the Service to the User by using or referring to such data.

4.4. Any acts, whether related to any functions, made through the Service by using Personal Security Code pursuant to these Terms shall be deemed accurate and valid and shall bind the User in all respects without having the User to sign any other documents. The User also agrees to be bound by such acts as if it has been done by the User regardless of whether it has been done by the User or any other persons and for whatever reason (except for SCB 10X' fault). In addition, the User agrees that the use of the Personal Security Code shall be deemed as the electronic signature pursuant to the law.

4.5. SCB 10X shall have the right to add, amend or modify these Terms, including fees or service charges in relation to the use of the Services at any time as SCB 10X may deem appropriate and the User agrees to be bound by such added, amended or modified Terms, fees and/or service charges in all respects, provided that SCB 10X will inform the User by announcement on SCB 10X's website and/or the Application and/or by any other means as SCB 10X may deem appropriate, in advance before such addition, amendment or modification take effect.

4.6. The User agrees to be bound by and comply with these Terms, and relevant laws and regulations, including user guide and documents explaining procedures to use the Service prescribed by SCB 10X, which have been received or shall be deemed to have received by the User on the execution date of the application for the use of the Service, including those to be prescribed, added, amended or modified in the future and which shall form an integral part of these Terms.
5. Dealing with Error
If the User is aware of any error or malfunction in using the Service, the User shall promptly notify SCB 10X by contacting SCB 10X at [email protected], providing at least data in relation to date and time of executing Transaction and/or details of Transaction and/or any other information relating to the erroneous Transaction prescribed by SCB 10X. In this regard, SCB 10X and the User shall cooperate in examining the facts and investigating the causes of error, including rectifying such error immediately. SCB 10X shall inform the result of such investigation to the User by means and channels as SCB 10X deems appropriate such as telephone, mail, E-mail or any other means or channels to be further prescribed by SCB 10X.
6. Ownership and Intellectual Property Rights
6.1 The Service, including electronic systems and data retaining in the Service, is protected by intellectual property laws and/or any laws in relation to intellectual property. SCB 10X is and remains the owner of any and all copyrights, intellectual properties, rights and/or interests vested therein. The User's right to use the Service shall not be construed as constituting any transfer of ownership or any right in the Service to the User. If there are any acts or references to the Service or use of data from the Service by the User without authorization or against the laws, the User agrees to be liable to SCB 10X.

6.2 All digital currencies held in the User's Rubie Wallet are custodial assets held by SCB 10X for the purpose of the provision of the Service. Title to the digital currencies shall at all times remain with the User and shall not transfer to SCB 10X.
7. General Terms
7.1. The User agrees not to use the Service for any other purposes, except for the purpose of this service only.

7.2. The User agrees not to do and not to allow any third party to do any of the following:

7.2.1. sending viruses, worms, trojan horses or any other malicious program which is able to harm into the Service.


7.2.2. imitating, modifying, deconstructing, reverse engineering or changing the Service or SCB 10X's data.


7.2.3. using bots, spiders, crawlers, scarping or similar technologies to access into the Service or SCB 10X's electronic systems or to obtain SCB 10X's data apart from specified in these Terms.


7.3. If any provision of these Terms shall be deemed invalid, illegal or unenforceable or incomplete for whatever reasons, the remaining provisions of these Terms shall be valid and unenforceable in accordance with laws.
8. Limitation of Liability
8.1. Any acts performed by SCB 10X pursuant to these Terms and/or data provided by the User to SCB 10X and/or request made by the User and/or any terms and conditions for the use of the Service which are currently existing or hereafter to be further prescribed shall bind the User in all respects and SCB 10X shall not be responsible for any damages incurred to the User and/or any other persons, unless such damages arising out of SCB 10X's intention or gross negligence.

8.2. The Service provided by SCB 10X shall be provided under “as-is” condition, and SCB 10X shall have the right to suspend or cancel the Service, in the event of Force Majeure or other events beyond SCB 10X's control as necessary. SCB 10X does not own or control the underlying software protocols which govern the operation of digital currency. SCB 10X assume no responsibility for the operation of the underlying protocols and do not guarantee the functionality or security of network operations.

8.3. SCB 10X shall not be liable to the User and/or any persons for any of the following events in all respects:

8.3.1. There is insufficient amount in the Rubie Wallet or the Service has been suspended.


8.3.2. The User fails to use the Device for Transaction Execution prescribed by SCB 10X.


8.3.3. The User is involved in any proceedings or petitions.


8.3.4. SCB 10X notified the User of any temporary interruption of the provision of the Service before or during making Transaction.


8.3.5. The User fails to comply or breaches any of these Terms or agreement between the User and SCB 10X.


8.3.6. Any of Force Majeure events occur.


8.4 In the event that there is any dispute between the User and the Merchant and/or any other persons in relation to the Service, the User shall make an effort to resolve such dispute by himself/herself and shall not do any acts resulting in SCB 10X has to participate in any dispute between the User and the Merchant and/or any other persons in relation to the Service.

8.5 In the event that SCB 10X debits and/or credits any digital currency from and/or to the User's Rubie Wallet pursuant to these Terms and it appears later that the User fails to comply with these Terms, or the debited or credited amount is inaccurate, or the debiting or crediting to the wrong Rubie Wallet, or it is caused by any error for whatever reason, the User agrees that SCB 10X shall have the right to correct the amount in the Rubie Wallet by debiting and/or crediting such digital currency from and/or to the Rubie Wallet, including reversing such incorrect Transaction. In this regard, SCB 10X does not have to notify the User in advance and does not have to provide other evidences between SCB 10X and the User.
9. Suspension and/or Cancellation of the Service
9.1. SCB 10X shall have the right to deny, temporarily suspend or cancel providing any and all types of services and functions at any time while remains the withdrawal option for the user, except for in the event that SCB 10X deems that it is illegal or contrary to public order or good morals for SCB 10X to provide services pursuant to these Terms or for the User to use the Services; or SCB 10X is reasonably believed that there is any use of the Service or execution of Transaction in the robotic manner or any abuse or wrongful use of services or there is a necessary occurrence of any event for which a prior written notice may not be given, SCB 10X will promptly notify the User.

9.2. In case of any data received by SCB 10X from the User is incorrect, incomplete or untrue, the User agrees that SCB 10X shall have the right to temporarily suspend and/or cancel the use of the Services at any time without having to notify the User in advance. SCB 10X shall not be liable to the User for any losses and damages in any respects.

9.3. The User agrees and accepts that SCB 10X shall have the right to temporarily suspend or cancel providing the Service and/or any and all types of functions and/or services, including immediately suspending top-up fund from the Account to the Rubie Wallet and fund transfer from the Rubie Wallet to the Account, without having to notify the User in advance, when the following events occur:

9.3.1. The User becomes insolvent, is placed under receivership, is place under order for a seizure or attachment of property; or


9.3.2. There are any legal grounds, governmental regulations, orders of court, competent authority, inquiry officer, or governmental officer resulting in SCB 10X is not able to provide the Service; or


9.3.3. Data received by SCB 10X from the User is incorrect, incomplete or untrue.

10. Collection, Use and Disclosure of Data
For the use of the Service, SCB 10X will collect, use and disclose the User's personal data and/or any other person's personal data provided by the User for the purpose of providing services in accordance with these Terms and any other purposes as prescribed in SCB 10X's Privacy Notice. To understand how SCB 10X collects, uses and discloses personal data and the data owner's rights in accordance with the personal data protection laws, the User may further read such Privacy Notice as announced by SCB 10X on SCB 10X's website, namely www.SCB 10X.com, and/or any other channels prescribed by SCB 10X or to be further changed and notified to the User by announcing on such website and/or any other channels prescribed by SCB 10X. In addition, in the event that the User has given any personal data of any other person, the User shall notify such person of such Privacy Notice.

In addition, SCB 10X will send, transfer and/or disclose any data of the User to juristic persons or any persons who are SCB 10X's counterparty to the contract or have a relationship with SCB 10X, for example outsources, agents, business facilitators, sub-contractors, cloud computing service providers or business partners who issued co-branded products, for the purpose of the provision and/or support of SCB 10X's services provided to the User, including sending, transferring and/or disclosing such data for the purpose of compliance with the laws or regulations of any countries governing SCB 10X.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand and the court of Thailand shall have exclusive jurisdiction to adjudicate any dispute arising under or in connection with the use of Services under these Terms.
